Terms of Service

Please read these Terms carefully before using ChatPilo. They govern your access to and use of our AI-powered business messaging automation platform and associated services.

These Terms of Service ("Terms") constitute a legally binding agreement between you and Chat Pilo, operated by Shah Technology ("ChatPilo", "we", "our", or "us"), located at House 42, Road 5, Dhanmondi, Dhaka, Bangladesh. Our contact email is info@chatpilo.com and our website is chatpilo.com.

1. Acceptance of Terms

By accessing or using ChatPilo's services, website, APIs, or any associated software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

2.1 Platform Overview

ChatPilo provides an AI-powered business messaging automation platform that enables businesses to automate customer conversations across WhatsApp Business API, Facebook Messenger, Instagram Messaging, and website chat widgets. Our Services include AI auto-reply, unified inbox, lead capture, order management, CRM integration, and analytics.

2.2 Third-Party Integrations

Our Services integrate with Meta platforms (WhatsApp, Facebook, Instagram) and other third-party services. Your use of these integrations is subject to the respective platform's terms of service. ChatPilo acts as an authorized Business Solution Provider and adheres to all applicable platform policies, including Meta's Platform Terms, WhatsApp Business Policy, and Instagram Platform Policy.

2.3 Service Availability

We strive to maintain 99.9% uptime for our platform. However, we do not guarantee uninterrupted availability. Scheduled maintenance windows will be communicated at least 24 hours in advance. Unplanned outages will be communicated via our status page and email notifications.

3. User Accounts & Registration

3.1 Account Creation

To use ChatPilo, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.2 Account Security

You must immediately notify us at info@chatpilo.com if you suspect unauthorized access to your account. We recommend enabling multi-factor authentication. ChatPilo will not be liable for any loss resulting from unauthorized use of your account credentials.

3.3 Account Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. Our Services are intended for business use and are not directed to consumers for personal use.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use ChatPilo exclusively for lawful business purposes, including automating customer support, sales communications, appointment scheduling, order processing, and lead management. You agree to comply with all applicable laws and regulations, including anti-spam laws, data protection regulations, and messaging platform policies.

4.2 Prohibited Uses

You must not use ChatPilo to send unsolicited messages (spam), harass or abuse users, distribute malware or phishing content, violate any applicable law or regulation, infringe on intellectual property rights, collect data without proper consent, or engage in deceptive practices. Violation of this policy may result in immediate account suspension.

4.3 Meta Platform Compliance

When using WhatsApp, Facebook, or Instagram integrations, you must comply with Meta's messaging policies, including obtaining proper opt-in consent from end users, honoring opt-out requests within 24 hours, and only sending permitted message categories through the WhatsApp Business API.

5. Intellectual Property

5.1 ChatPilo IP

All rights, title, and interest in and to the ChatPilo platform, including software, AI models, algorithms, interfaces, content, and documentation, are owned by Shah Technology and its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

5.2 Your Content

You retain all ownership rights to content you create, upload, or process through ChatPilo. By using our Services, you grant ChatPilo a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Services. We do not claim ownership of your data or your customers' data.

6. Billing & Payment

6.1 Subscription Plans

ChatPilo offers subscription-based pricing plans. All fees are displayed in USD unless otherwise specified and are billed in advance on a monthly or annual basis, depending on your selected plan.

6.2 Payment Terms

Payment is due upon subscription. We accept major credit cards and other payment methods as specified at checkout. If a payment fails, your account may be downgraded or suspended after a grace period of 7 days.

6.3 Refunds

All fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to paid features until the end of your current billing period. We do not offer pro-rated refunds for partial months.

7. Termination

7.1 Termination by You

You may cancel your ChatPilo account at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.

7.2 Termination by ChatPilo

We reserve the right to suspend or terminate your account with or without notice if you violate these Terms, engage in fraudulent activity, breach platform policies, or if required by applicable law. For non-material breaches, we will provide 30 days' notice and an opportunity to cure.

7.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted.

8. Limitation of Liability

8.1 Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHATPILO PROVIDES THE SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability

IN NO EVENT WILL CHATPILO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR USD $100.

9. Governing Law & Disputes

9.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Bangladesh. For users in other jurisdictions, mandatory consumer protection laws of your jurisdiction may also apply.

9.2 Dispute Resolution

We encourage you to contact us first at info@chatpilo.com to resolve any disputes informally. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Dhaka, Bangladesh. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.
